How to build an effective licensing, R&D and cooperation agreements in compliance with competition law

The essence of IP rights is that they confer upon their owner an exclusive right to behave in particular way i.e. to prevent others from producing goods/processes protected by means of patents or other IP rights and on the other hand competition law strives to keep markets open to competition. In this scenario it could be inferred that there is an inherent tension between these two areas of law and policy. Nowadays it is generally agreed that this conclusion is simplistic and incorrect since both those sets of laws share the same objective of promoting consumer welfare and an efficient allocation of resources and it is recognized that innovation constitutes an essential and dynamic component of an open and competitive market economy.

Based on this findings both the EU Commission and Competition National Authorities (CNAs) recognized that Licensing agreements, R&D as well as certain types of cooperation agreements in their essence promote competition and, thus, they deserve to be exempted from the general antitrust ban against anti-competitive agreements to the extent to which some specific circumstances are satisfied and in particular where they do not encompass none of the specific hardcore restrictions set out in the EU antitrust block exemption regulations.

The goal of the webinar will be to explore in detail what are the conditions to be met in order to draft contracts clauses in compliance with the new block exemption regulations adopted by the EU Commission in relation to licensing, R&D and cooperation agreements with the aim of providing attendants with practical tools for drafting or evaluating contracts effectively also in line with the best practice.
